Supplier Code of Conduct

    This Code of Conduct defines the basic requirements placed on Broadleaf’s suppliers of goods and services. We require that our suppliers comply with the requirements detailed herein regarding their responsibilities to the environment and their stakeholders.

Sustainability
Broadleaf is committed to corporate responsibility, sustainability and giving back to the communities in which we work and live.

At Broadleaf we understand that our operations have a direct impact on the environment through our daily consumption of energy and other resources. We’re committed to modeling the principles of sustainability in our office operations and other areas where we can reduce our company’s environmental and social impact.

Broadleaf’s commitment to sustainability and corporate responsibility is expected to be mirrored by all of our suppliers, thus all suppliers are encouraged to make reasonable efforts to embrace these objectives in their operations.

Legal Compliance & Labor
Suppliers will comply with all applicable laws, regulations and contractual agreements of the jurisdictions in which they conduct business.

Suppliers shall operate within the jurisdictionally applicable wage and hour laws where they are conducting business. All suppliers shall compensate employees through wages and benefits which meet or exceed any existing local standards. Broadleaf will not work with a supplier who requires employees to work in excess of the statutory limitations of their jurisdiction without adequate compensation.

Engaging in any form of corruption or bribery on the part of any supplier will not be tolerated by Broadleaf. Corruption and bribery include: any form of payment or other form of benefit conferred on any government official, customer, representative or Broadleaf employee for the purpose of influencing decision-making in violation of law.

Suppliers shall not employ any workers under the age that is lawful in their jurisdiction. In the majority of jurisdictions, including internationally, this age is 16 except for those countries subject to the Developing Country Exception of the International Labour Organization which allows children of at least 14 to be employed.

Under no circumstances shall a supplier benefit from any form of slavery, servitude, forced or compulsory labor, human trafficking, bonded, indentured, or involuntary prison labor.

Suppliers must allow open and constructive communication with their employees and workers’ representatives. They will respect the right of employees to associate freely, seek representation, and join unions and work councils. There shall be no retaliation against workers who choose to act as workers’ representatives.

Suppliers must conduct business in line with applicable anti-trust laws and fair competition.

Suppliers are obligated to provide a workplace clear of harsh and inhumane treatment, without any sexual harassment, sexual abuse, discrimination, mental or physical coercion or verbal abuse of employees or the threat of any such treatment. Unacceptable behavior includes, but is not limited to gestures, language and physical contact which is sexual, coercive, threatening, abusive or exploitative in nature.

Ethics & Discrimination
Suppliers will ensure that all employees are given equal opportunity and treated with respect and dignity regardless of such criterion as skin color, race, nationality, social background, disabilities, sexual orientation, gender identity, gender expression, political or religious convictions, gender, age, or pregnancy. Suppliers shall prevent and remedy harassment if it occurs, and are encouraged to create a supportive, diverse and inclusive work environment for their employees.

Suppliers must provide a means for employees to report concerns about potential misconduct or unlawful activities in the workplace. All reports shall be treated as confidential, each being investigated by the supplier and appropriate corrective measures shall be taken if necessary.

Health & Safety of Employees

Suppliers must take responsibility for the health and safety of all of their employees by controlling hazards and taking the best reasonable precautionary measures against accidents and occupational diseases. It is also the Supplier’s responsibility to provide training and ensure that employees are educated in health and safety issues. Suppliers are encouraged to set up or use an existing occupational health and safety management system.

Environmental Protection
All suppliers are expected to act in accordance with applicable statutory and international standards regarding environmental protection. Suppliers are expected to make commercially reasonable efforts to minimize environmental pollution and make continuous improvements to their environmental protection standards.

Data Privacy
There is an expectation that all suppliers will safeguard confidential information and will only utilize this information for appropriate uses in order to ensure that all employees’ and businesses’ information and intellectual property rights are protected.

Supply Chain
Suppliers are expected to make reasonable efforts to promote compliance with this Code of Conduct among their own suppliers.

In order to comply with the principles of this Code of Conduct, Supplier shall provide, if requested by Broadleaf, a written self- assessment in a form provided by Broadleaf or a written report approved by Broadleaf describing the actions taken or to be taken by Supplier to assure compliance with the Code of Conduct.

Broadleaf, and its authorized agents and representatives and/or a third party appointed by Broadleaf and reasonably accepted by Supplier, shall be entitled (however, not obliged) to conduct inspections at Supplier’s premises in order to verify compliance with the Code of Conduct. Any inspection can only be conducted upon prior written notice by Broadleaf, during regular business hours, in accordance with applicable data protection laws and shall neither unreasonably interfere with Supplier’s business activities nor violate any of Supplier’s confidentiality agreements with third parties. Supplier shall reasonable cooperate in any inspections conducted and each party shall bear its own expenses in connection with such an inspection.

In addition to any other rights and remedies that Broadleaf may pursue, in the event of a Supplier’s material or repeated failure to comply with the Code of Conduct or Supplier’s denial of Broadleaf’s right of inspection as provided prior, after Broadleaf provided sufficient notice and opportunity to remedy, Broadleaf may terminate its Master Service Agreement of Purchase Order issued hereunder without liability. Material failures include, but are not limited to, incidents of child labor, corruption and bribery, and failure to comply with the Code of Conduct’s environmental protection requirements. The notice and opportunity to remedy provision shall not apply to violations of requirements and principles regarding child labor as set out in the Code of conduct or willful failures to comply with the Code of Conduct’s environmental protection requirement.
